By-laws & elections

IODA is a non-profit legally incorporated, member driven, global community of OD professionals. A copy of the current available by-laws is available here.

Executive Committee

The IODA Executive Committee (EC) ensures the well-governed functioning of the organization,  and ensures that the interests of members are taken into account.  Members of the EC lead activities to deliver on the strategic purpose of the organization. 

The EC holds regular formal meetings, and also communicates regularly to deliver on their portfolio areas.


As a not-for profit organization, registered as a 501(c)(3) organization in the United States, IODA operates as a financially transparent organization.

We provide a full review of our fiscal operations during our annual members meeting where the budget for the upcoming year is approved, and our current finances are always available to our members on request. We generate operating income primarily from memberships fees, and supplement that income through donations and non-guaranteed conference profit. Our major expenses include support for annual conferences, administrative functions and program services.

Election process

Elections are conducted by the Election Committee, which is brought together whenever it is appropriate to hold elections. The role of this group is to ensure the smooth and fair running of the whole election process for IODA. It is comprised of:

The election committee has explored and found innovative ways to make the process accessible, efficient, confidential and fair for candidates no matter where in the world they reside. 

IODA Election criteria:

Any IODA member who is eligible to vote (has paid membership fees for the year of the election/ the year before) and who meets the nomination criteria may self-nominate or nominate another member who meets the criteria for eligibility for nomination. All members being nominated by others must be informed and have given consent before their names can be sent in as nominations.

IODA Voting process:

Voting will take place if there are multiple candidates for a position and will be conducted using a formal and confidential process. Members may vote only by the authorized process that will be set out by the election committee. Each member may cast only one vote for each position.

IODA members have the opportunity to nominate themselves for roles on the EC and nominate other members. Please direct any questions about elections and roles on the E.C.
